3. Client Responsibilities

4. Intellectual Property

Unless otherwise specified in a separate agreement, upon full payment for services, you will own all intellectual property rights to the deliverables created specifically for you. Pre-existing materials, tools, and frameworks owned by d0x2a Labs LLC remain our property, though you may receive a license to use them as part of your deliverables.

5. Confidentiality

We will maintain the confidentiality of any proprietary or sensitive information you share with us. We will not disclose such information to third parties without your consent, except as required by law. We recommend executing a separate Non-Disclosure Agreement for projects involving sensitive information.

6. Payment Terms

Payment terms will be specified in your service agreement. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur interest charges as permitted by applicable law.

7. Limitation of Liability

To the maximum extent permitted by law, d0x2a Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless d0x2a Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these terms or your use of our services in violation of applicable law.

9. Termination

Either party may terminate a service engagement as specified in the applicable service agreement. Upon termination, you shall pay for all services rendered up to the termination date.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the state in which d0x2a Labs LLC is registered, without regard to conflict of law principles.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new terms.
